Iran's first investment bank
Novin Capital Group is the first active investment bank in the country, established in 2006 with the participation of commercial banks and reputable industrial and financial holdings, in line with the provisions of the Securities Market Law ratified in December 2005. In 2008, the company obtained its operating license from the Securities and Exchange Organization with an initial paid-up capital of one trillion Rials. The company was listed on the Tehran Stock Exchange in November 2018 under the ticker symbol “Tanoin” and went public in March 2019.
Acting as an intermediary between securities issuers and the general investing public, the company provides a range of services, including brokerage, trading, market-making, advisory, portfolio management, underwriting, underwriting commitments, and similar activities, all conducted under the regulatory framework and with the necessary licenses from the Securities and Exchange Organization.

Major Shareholders
Novin Investment Bank was established as a private joint-stock company on April 6, 2008 (1387/01/18), and was registered under number 321752 dated April 6, 2008 (1387/01/18) with the Tehran Companies and Industrial Property Registration Office, under the national identification number 10103584900, as the first investment bank in Iran. Additionally, the company’s name was registered as a “financial institution” under number 10599 on April 16, 2008 (1387/01/28) with the Securities and Exchange Organization, and the operating license for this investment bank was obtained on April 19, 2008 (1387/01/31).
Pursuant to the Extraordinary General Assembly meeting dated September 10, 2018 (1397/06/19) and License No. 40337/122 issued by the Securities and Exchange Organization, the company’s type was converted from a private joint-stock company to a public joint-stock company. This conversion was registered with the Tehran Companies and Non-Commercial Institutions Registration Office on October 22, 2018 (1397/07/30) and was published in the Official Gazette No. 21445 dated November 26, 2018 (1397/08/05).
On June 26, 2018 (1397/04/05), the Tehran Stock Exchange Admission Board approved the listing of Novin Investment Bank (Private Joint-Stock Company). Subsequently, on November 13, 2018 (1397/08/22), Novin Investment Bank (Public Joint-Stock Company) was listed under the ticker symbol “Tanoin” on the Secondary Market of the Tehran Stock Exchange.
One of the most important financial institutions that act as intermediaries in financing companies and governments through the primary market are investment banks. These entities are recognized as financial institutions under Clause 18 of Article 1 of the Securities Market Law of the Islamic Republic of Iran and, pursuant to Article 28 of the same law, their activities are supervised by the Securities and Exchange Organization. Investment banks pursue three main objectives: Assisting companies in raising capital, whether through the issuance of debt securities or equity instruments. Key activities include underwriting, underwriting commitments, and commitments to purchase securities in secondary offerings. Providing asset management services through mutual investment funds and customized investment portfolios. Key activities include fund management, registration, liquidity guarantees, trusteeship, management of dedicated investment portfolios, and market-making for debt and equity securities. Offering advisory services, including consultation on offerings and listings, mergers and acquisitions, organizational and financial restructuring, risk management, valuation, and feasibility studies related to the design and issuance of financial instruments for companies, among others.
